Terms of Service

1. Agreement

These Terms of Service ("Terms") govern access to and use of the ThynkBooks platform, websites, desktop applications and APIs (together, the "Service"), operated by ORIS Intelligence Pvt Ltd ("ORIS", "we", "us"). By creating an account or using the Service you agree to these Terms on behalf of yourself and, where applicable, the organisation you represent.

2. The Service

ThynkBooks provides multi-entity accounting, tax computation, banking reconciliation, reporting and related financial-intelligence tooling. Feature availability varies by plan and by region; regional availability — including which tax-authority e-filing integrations are live — is described on our pricing page.

AI-assisted features (document extraction, ledger suggestions, anomaly detection, natural-language queries) produce suggestions that always require human review and approval before any accounting entry is posted. You remain responsible for the accuracy of your books and filings.

3. Your responsibilities

You are responsible for: maintaining the confidentiality of credentials and API keys; the acts of users you invite; the lawfulness, accuracy and completeness of the data you submit; and reviewing computed returns and reports before relying on or filing them.

The Service produces accounting records and filing-ready computations. It does not provide legal, tax or audit advice, and outputs are not a substitute for review by a qualified professional.

4. Subscriptions, billing and trials

Paid plans are billed in advance through the ORIS billing platform (with payments processed by Razorpay or the processor shown at checkout). Fees are exclusive of applicable taxes. Plan limits (entities, users) are enforced by the Service.

You may cancel at any time; access continues until the end of the paid period. Except where required by law, fees are non-refundable. We may change pricing with at least 30 days notice; changes apply from your next billing cycle.

5. Your data

You retain all rights to the financial data you submit. You grant us the limited rights needed to operate the Service: hosting, processing, backing up and displaying your data to authorised users, and producing the computations you request.

Accounting integrity is enforced by design: posted journals are append-only and corrections are made through reversal entries; audit logs record every material action. On termination you may export your data (ledgers, masters, documents, reports) for 30 days, after which it is deleted from production systems per our retention schedule.

6. Acceptable use

You must not: misuse the Service to violate law; attempt to access another tenant's data; probe or disrupt the Service's security; resell the Service without a written partner agreement; or upload malicious code. We may suspend access for material breach, risk to other customers, or non-payment, with notice where practicable.

7. Intellectual property

The Service, including software, design and content (excluding your data), is owned by ORIS and its licensors. We grant you a non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription. Feedback you provide may be used to improve the Service without obligation.

8. Warranties and disclaimers

We provide the Service with reasonable skill and care and target high availability, but the Service is provided "as is" to the maximum extent permitted by law. We do not warrant that outputs are error-free or that the Service satisfies any particular regulatory requirement applicable to you; statutory warranties that cannot be excluded are unaffected.

9. Liability

To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, and our aggregate liability arising out of or relating to the Service in any 12-month period is limited to the fees you paid for the Service in that period. Nothing limits liability for fraud, wilful misconduct, or anything that cannot be limited by law.

10. Termination

Either party may terminate for material breach not cured within 30 days of notice. We may discontinue the Service with at least 90 days notice, in which case we will refund any prepaid fees for the unexpired period.

11. Governing law

These Terms are governed by the laws of India, and the courts at Mumbai, Maharashtra have exclusive jurisdiction, without prejudice to mandatory consumer protections in your place of residence.

12. Changes and contact

We may update these Terms; material changes will be notified in-app or by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
